This user agreement is concluded between You - the Client, the Advertiser, and the CPA network.
Client – a person who, through the activities of the CPA network, is attracted by promotional methods to purchase/dispose of offers for goods and/or services offered by the Advertiser, intending to order or purchase, or ordering, purchasing, or using goods exclusively for personal, family, household, and other needs not related to business activities.
Advertiser – a person who wishes to place an offer in the CPA network for the purpose of selling a specific product and/or service.
CPA Network (short for Cost Per Action) – an electronic business environment in which contractual relationships are formed between the Advertiser and the CPA network, whereby the Advertiser offers products and/or services, and the CPA network, in turn, attracts clients interested in purchasing the offers using methods allowed by the Advertiser. The ultimate result of this activity is the Client purchasing the product and/or service through the CPA network.
Parties – Client, Advertiser, CPA network.
Website – an online store resource managed and owned by the Advertiser under private ownership.
Public Offer – a proposal addressed by the administration to an unspecified number of persons or several specific persons, which is definite, concrete, and expresses the intent of the offering party to consider itself bound by this user agreement with the recipient who accepts the offer.
Acceptance – full acceptance by one of the Parties of the terms of the public offer of the CPA network for concluding this user agreement. Acceptance of the public offer occurs at the moment of starting to use the Website (including for informational purposes) and its services.
1.1. This User Agreement (hereinafter referred to as the "Agreement") defines the general rules for visiting, using the services, and general conduct on the Website by the Client, and regulates the civil-law relationships between the Client and the Advertiser, as well as the Client, Advertiser, and CPA network during their interaction.
1.2. This Agreement may be amended at the discretion of the CPA network and/or the Advertiser unilaterally. The CPA network and/or the Advertiser are not obliged to personally notify the Client of such changes. The new version of the Agreement comes into force from the moment the Client purchases the goods/services of the Advertiser.
1.3. The terms of the Agreement apply to all Clients of the site, without exception.
1.4. By starting to use the Website, the Client confirms that they have read the provisions of this Agreement with full mental clarity, fully understand them, and fully accept the terms of use of the Website. If the Client disagrees with the provisions of this Agreement (in whole or in part), they do not have the right to use the Website's information resources.
2.1. The provision of services and/or opportunities by the Website does not grant the Client any exclusive rights or privileges.
2.2. The Parties to this Agreement agree that the CPA network has the right to place advertising blocks, banners, and announcements in any areas of the Website, including where information posted by the Client is located, without additional consent from the Client.
2.3. Information posted on the Website by the CPA network is the result of intellectual activity, and all property and personal non-property rights to such information belong to the CPA network unless otherwise established. The Client does not acquire any exclusive rights to the results of the CPA network's intellectual activity expressed in graphical, textual, audio-video forms, posted by the CPA network on the Website.
2.4. The CPA network does not bear any obligations to protect the Client's infringed rights in resolving disputes arising on this basis, including in court.
2.5. The CPA network is not the owner/manufacturer of the goods and/or services posted on the Website and is not responsible for the violation of the Client's rights. The purpose of the CPA network under this Agreement is to attract potential clients interested in purchasing goods and/or services using methods permitted by the Advertiser. The final result of such activity is the Client purchasing the goods and/or services through the CPA network.
2.6. Violation by the Client or Advertiser of the CPA network's copyright or third-party rights entails liability for the violator as provided by Ukrainian law.
2.7. If a violation of copyright is discovered by the Client through the unlawful posting of non-belonging materials, the CPA network will remove such materials from public access at the first request of the legal copyright holder.
2.8. The Client is prohibited from posting information on the Website that directly or indirectly contains generally accepted signs of pornography, offensive, derogatory, damaging to someone's dignity, or contains calls for violence, rioting, or other actions that violate the laws of the relevant jurisdiction, or contains malicious software or other harmful information.
2.9. In case of violation of clause 2.8 of this Agreement, the Client will be held responsible under the provisions of this Agreement and/or applicable Ukrainian law. The CPA network has the right to remove such information from public access independently.
2.10. The CPA network is not responsible for the results of the Client visiting external (third-party) resources linked on the Website. The term "results" refers to any outcome, including financial losses, moral damage, and other negative impacts suffered by the Client.
2.11. The procedures for remote sales, the rights and obligations of the Parties to the Agreement, and third parties, as well as special requirements for interaction and advertising site design, are regulated by Ukrainian legislation, including the Federal Law "On Advertising," and other legal acts and this Agreement.
3.1. The Advertiser is obliged to offer the Client delivery services for goods by mail or transportation, specifying the delivery method and type of transport.
3.2. The Advertiser is required to inform the Client of the need to use qualified specialists for the connection, setup, and commissioning of technically complex goods that cannot be put into operation without such specialists.
3.3. The Advertiser cannot perform additional paid services without the Client's consent.
3.4. Before concluding a retail sale contract, the Advertiser must provide the Client with information about the main consumer properties of the goods, the address of the Advertiser, manufacturing location, full legal name of the Advertiser, price and terms of purchase, delivery, service life, warranty period, payment conditions, and the validity period of the offer to conclude the contract.
3.5. At the time of delivery, the Advertiser must provide the Client with the following information in writing (for imported goods, in the local language):
4. Client's Rights and Obligations
4.1. The Client has the right to refuse the goods at any time before they are delivered and within 7 days after receiving the goods.
4.2. If the Client is not provided with information about the return terms at the time of delivery, they have the right to refuse the goods within 3 months of receiving them.
4.3. Goods can be returned in good condition, provided that their consumer properties and appearance are preserved.
5. Liability of the Parties
5.1. The CPA network is not responsible for any actions of the Client that resulted in the violation of third-party rights, except in cases provided by Ukrainian law.
5.2. The CPA network is not responsible for the content posted by the Advertiser or Client.
5.3. The CPA network has the right to limit or block the Client's access to the Website without explanation.
6. Dispute Resolution
6.1. In case of a violation of intellectual property rights, the legal owner must submit a claim with evidence of their ownership.
7. Miscellaneous
7.1. All situations and disputes arising from the interaction between the Client, the Advertiser, and the CPA network not regulated by this Agreement are resolved by applicable Ukrainian law.
7.2. The Parties acknowledge their rights and obligations under this Agreement and fully understand the consequences of their actions.
7.3. The CPA network's inaction in the event of a violation by a Client does not prevent the CPA network from taking action later to protect its interests and rights.
